Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before accessing or using the Nailo Service.

1. Interpretation and Definitions

1.1 Interpretation

Capitalized terms have the meanings provided in this Section or otherwise defined in these Terms. The definitions apply regardless of whether terms appear in singular or plural.

1.2 Definitions

Affiliate
means any entity that controls, is controlled by, or is under common control with the Company, where “control” means direct or indirect ownership of at least fifty percent (50%) of the equity interests or voting securities.
Application
means the Nailo mobile application for Clients and the companion Nailed Pro application for Nail Techs, including all related features, tools, content, and updates.
Booking
means an appointment requested by a Client and accepted by a Nail Tech through the Service.
Client
means a user who uses the Service to discover and book appointments with Nail Techs.
Company, We, Us, or Our
means Nailo, Inc.
Device
means any device capable of accessing the Service.
Nail Tech
means an independent nail technician, beauty professional, or salon owner who offers services through the Service.
Service
means, collectively, the Application, the Website, associated software, content, and any services offered by the Company.
User
means any user of the Service, including Clients and Nail Techs.
User Content
means any images, photographs, text, reviews, messages, metadata, or other content uploaded, submitted, or transmitted by You through the Service.
Website
means nailo.app and any associated subdomains.
You
means the individual using the Service or the legal entity on whose behalf the individual uses the Service.

2. Agreement to Terms

Your access to and use of the Service is conditioned upon Your acceptance of these Terms and the Nailo Privacy Policy. By accessing or using the Service, You acknowledge that You have read, understood, and agreed to be bound by these Terms. If You do not agree, You must discontinue use of the Service.

3. Eligibility; Age Requirements

  • You represent and warrant that You are at least 13 years old.
  • If You are between 13 and 17 years old, You may only use the Service with the consent and supervision of a parent or legal guardian, who agrees to be fully responsible for all activities conducted using the Service.
  • To register as a Nail Tech or Salon Owner, You must be at least 18 years old and legally authorized to offer the services You list on the Service in Your jurisdiction.

4. The Nailo Marketplace

Nailo is an online marketplace platform that connects Clients with independent Nail Techs. The Company is not a provider of nail, beauty, or salon services. The Company does not employ, supervise, direct, or control Nail Techs, and Nail Techs are not agents, partners, or joint venturers of the Company.

Any appointment, service, payment, or transaction between a Client and a Nail Tech is a direct agreement between those parties. The Company is not a party to that agreement and does not guarantee the quality, safety, legality, timing, pricing, or outcome of any service offered or performed by a Nail Tech.

The Company does not sell any physical products through the Service.

5. Accounts

To use most features of the Service, You must create an Account. You agree to provide accurate and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of Your login credentials and for all activities that occur under Your Account. Notify us immediately at support@nailo.app if You suspect unauthorized access.

Client accounts and Nail Tech accounts are separate. Using the wrong account type in the wrong application is prohibited.

6. Bookings, Cancellations, and No-Shows

6.1 Making a Booking

Clients may request a Booking with a Nail Tech through the Application. A Booking is not confirmed until the Nail Tech accepts the request. Nail Techs may decline or cancel Bookings in accordance with their own business practices and applicable law.

6.2 Cancellations and No-Shows

Each Nail Tech is solely responsible for setting and enforcing their own cancellation, rescheduling, deposit, and no-show policies. Clients should review the Nail Tech's policies before confirming a Booking. The Company is not responsible for resolving disputes regarding cancellation fees, deposits, refunds, or missed appointments.

6.3 Company's Role

The Company provides tools to coordinate Bookings but does not guarantee Nail Tech availability, attendance, or performance. Nail Techs are solely responsible for fulfilling accepted Bookings.

7. Payments

Nailo does not currently process payments for nail services between Clients and Nail Techs. Payment for services is arranged directly between the Client and the Nail Tech outside of the Service, using cash, card, or other methods the Nail Tech accepts. The Company is not responsible for collecting, holding, refunding, or otherwise handling service payments.

If and when the Company enables in-app payments in the future, additional terms will govern those transactions, including payment processor terms (for example, Stripe). You will be notified of any such changes.

8. Subscriptions and In-App Purchases

Certain features of the Service may be offered on a paid or subscription basis. Where purchases or subscriptions are offered through third-party platforms such as the Apple App Store or Google Play Store, the terms of those platforms govern payment processing, renewals, and refunds, in addition to these Terms.

Subscriptions automatically renew unless cancelled in accordance with the applicable platform's cancellation procedures at least 24 hours before the current period ends.

9. Nail Tech Responsibilities

If You use the Service as a Nail Tech, You additionally represent and agree that:

  • You hold all licenses, permits, registrations, and certifications required to offer Your services in Your jurisdiction, and will maintain them for as long as You use the Service
  • Your services, workspace, tools, and sanitation practices comply with all applicable laws, regulations, and health and safety standards
  • You are solely responsible for the accuracy of Your profile, services, pricing, availability, and portfolio
  • You are solely responsible for collecting and reporting all taxes associated with Your services
  • You carry any insurance appropriate for Your business
  • You will honor accepted Bookings and communicate promptly with Clients
  • You will not discriminate against Clients on any basis protected by applicable law

10. Client Responsibilities

If You use the Service as a Client, You agree to:

  • Provide accurate Booking information
  • Arrive on time for confirmed Bookings and communicate promptly with Nail Techs regarding changes
  • Honor any cancellation, deposit, or no-show policies agreed to with a Nail Tech
  • Treat Nail Techs with respect and comply with reasonable business rules of their workspace
  • Submit reviews truthfully and based on actual experiences

11. User Content; License Grant

By submitting User Content — including profile photos, portfolio photos, salon photos, reviews, review photos, booking notes, and messages — You represent that You own or have the necessary rights to the User Content and that it does not violate any third party's rights.

You grant the Company a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, store, display, analyze, process, modify, publish, and create derivative works from Your User Content solely to operate, maintain, promote, and improve the Service. Portfolio photos, salon photos, reviews, and review photos are intended to be publicly visible to other Users.

You agree not to upload unlawful, harmful, offensive, infringing, or misleading content.

12. Reviews

Clients may submit reviews about Nail Techs after a completed Booking. Reviews must reflect honest, first-hand experiences and must not contain false, defamatory, harassing, discriminatory, or unlawful statements. The Company does not endorse any review and is not responsible for the views expressed in reviews. The Company reserves the right, but has no obligation, to remove reviews that violate these Terms or applicable law.

13. Prohibited Uses

You agree not to:

  • Upload violent, sexually explicit, hateful, harassing, or unlawful content
  • Upload images of individuals without their lawful consent
  • Impersonate another person or misrepresent Your affiliation with any person or entity
  • Submit false, misleading, or manipulative reviews or ratings
  • Use the Service to solicit off-platform bookings in a manner that circumvents Company fees, where applicable
  • Scrape, harvest, or otherwise collect information about other Users without consent
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Circumvent, disable, or interfere with security-related features of the Service
  • Use the Service to send spam, malware, or any malicious code
  • Use the Service for any unlawful purpose or in violation of any applicable law

14. Third-Party Services

The Service may include links to, or integrations with, third-party content, websites, or services (for example, map providers, payment apps, or communication tools). The Company does not control and is not responsible for such third-party services, and Your use of them is subject to their own terms and privacy policies.

15. Intellectual Property

All rights in the Service (excluding User Content) — including software, design, trademarks, logos, and content created by the Company — are owned exclusively by the Company or its licensors. You may not copy, modify, distribute, sell, license, or reverse engineer any part of the Service, except as expressly permitted by these Terms or applicable law.

"Nailo" and related names, logos, and marks are trademarks of the Company. You may not use them without prior written permission.

16. Termination

The Company may suspend, limit, or terminate Your access to the Service at any time, with or without notice, if You violate these Terms, engage in fraudulent or harmful activity, or create risk or legal exposure for the Company or other Users. You may terminate Your Account at any time through in-app settings or by contacting support@nailo.app.

Upon termination, Your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous provisions) will survive.

17. Disclaimers — "AS IS" and "AS AVAILABLE"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied. To the maximum extent permitted by law, the Company disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, reliability, availability, and non-infringement.

Without limiting the foregoing, the Company makes no representation or warranty regarding any Nail Tech, Client, service, booking, review, or other User Content. The Company does not verify the identity, qualifications, licensing, or background of Users, and does not guarantee the safety, quality, or legality of any service arranged through the Service.

18. Assumption of Risk

You understand and agree that Your interactions with other Users, including any in-person services arranged through the Service, are at Your own risk. You are solely responsible for taking reasonable precautions in all interactions with other Users, including verifying licenses, asking about sanitation practices, and making informed decisions before booking.

19. Indemnification

To the maximum extent permitted by law, You agree to defend, indemnify, and hold harmless the Company, its Affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your use of the Service; (b) Your User Content; (c) Your violation of these Terms or any applicable law; (d) Your violation of any third-party right; or (e) any dispute between You and another User, including any dispute over services, payment, or Bookings.

20. Limitation of Liability

To the maximum extent permitted by law, the Company's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of:

  • The amount You paid to the Company in the preceding 12 months, or
  • One hundred dollars (USD $100).

The Company is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, whether or not the Company has been advised of the possibility of such damages.

21. DMCA Notice

If You believe Your copyrighted work has been used on the Service in a way that constitutes copyright infringement, please send a notice to support@nailo.app including: (a) a description of the work; (b) the location of the allegedly infringing material on the Service; (c) Your contact information; (d) a statement that You have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and that You are authorized to act on behalf of the rights holder; and (f) Your physical or electronic signature.

22. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to Section 23 (Arbitration), You agree to the exclusive jurisdiction of the state and federal courts located in Delaware.

23. Arbitration and Class Action Waiver

To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in English, and judgment on the award may be entered in any court of competent jurisdiction.

You and the Company agree that each may bring claims only in Your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. If this class action waiver is found unenforceable, the entirety of this Section 23 shall be null and void, but the remainder of the Terms will remain in effect.

You may opt out of arbitration by sending written notice to support@nailo.app within 30 days of first accepting these Terms.

24. Changes to the Service

The Company may modify, suspend, or discontinue any part of the Service at any time, with or without notice. The Company is not liable to You or any third party for any modification, suspension, or discontinuation of the Service.

25. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure by the Company to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

26. Changes to These Terms

The Company may update these Terms from time to time. Material changes will be announced through reasonable notice, such as in-app notifications or email. Your continued use of the Service after updates take effect constitutes Your acceptance of the updated Terms.

27. Apple and Google Platform Terms

If You access the Service through a device running iOS or Android, You acknowledge that these Terms are between You and the Company, not Apple Inc. or Google LLC. Apple and Google are not responsible for the Service or its content. In the event of any conflict between these Terms and the applicable App Store or Play Store terms, the platform terms will govern to the extent of the conflict for issues within their scope.

28. Entire Agreement

These Terms, together with the Nailo Privacy Policy and any other policies referenced herein, constitute the entire agreement between You and the Company regarding the Service and supersede all prior agreements.
